Confidentiality agreement

Between: the person signing below (the "Recipient") and Nirwair Bajwa, Elevate Group, eXp Realty (the "Agent"), on behalf of the Agent's sellers.

1. Confidential information

Confidential information means anything the Agent shares about a private listing: the business or property name, address, financial statements, sales, leases, employees, suppliers, and the fact that it is for sale.

2. Keep it private

The Recipient will keep confidential information private and will not share it with anyone except as allowed in section 3.

3. Advisors

The Recipient may share it with their own lawyer, accountant, lender or partners only if they need it to evaluate the opportunity and agree to keep it confidential. The Recipient is responsible for them.

4. Use only to evaluate

Confidential information may be used only to decide whether to buy or lease the opportunity, and for no other purpose.

5. No direct contact

The Recipient will not contact the seller, landlord, staff, customers or suppliers of the business without the Agent's written permission. All questions go through the Agent.

6. No copying

The Recipient will not copy, forward or publish materials beyond what is needed under section 3, and will return or delete them if asked.

7. No guarantee of accuracy

Information comes from the seller and has not been verified by the Agent or the brokerage. The Recipient will do their own due diligence.

8. Agency

The Agent represents the seller unless a separate written agreement says otherwise. Signing this agreement does not make the Agent the Recipient's representative.

9. No obligation

Signing does not oblige either side to buy, sell or lease anything.

10. How long it lasts

These obligations last for two years from signing, even if the listing ends or the business is sold to someone else.

11. Remedies

A breach may cause serious harm. The Agent and seller may seek an injunction and any other remedy allowed by law.

12. Authority

The Recipient confirms they can sign this agreement for themselves and any company they represent.

13. Alberta law

This agreement is governed by the laws of Alberta and Canada.

14. Whole agreement

This is the entire agreement about confidential information and replaces any earlier discussions on it.

15. Electronic signature

The Recipient agrees that typing their name and drawing their signature below is a valid signature, the same as signing on paper.
